1. About these terms
CADesk is practice-management software for Chartered Accountant firms, based at St. Marks Road, Bengaluru 560001. In these terms, "CADesk", "we" and "us" mean CADesk.
These terms are an agreement between CADesk and the firm that signs up ("the Firm", "you"). The person who signs up confirms that they are authorised to accept these terms for the Firm. By creating an account, or by using CADesk, the Firm accepts these terms, our Privacy Policy, our Refund & Cancellation Policy and the Data Processing Agreement, which form part of this agreement.
2. Your account and your team
The Firm decides who in its team gets access and with which role, and is responsible for everything done under its accounts.
- Keep passwords private, and use the sign-in codes we send for partners and admins.
- Remove access promptly when someone leaves the Firm.
- Tell us at once if you suspect anyone has used an account without permission.
- Keep your contact details up to date, so that we can reach you about your account.
3. Free trial
A new firm gets a free trial (currently 14 days). No payment details are needed for the trial. When it ends, the Firm can still sign in, view and download its data, but cannot change anything until it chooses a plan. We may change or end free trials for new sign-ups at any time.
4. Plans, fees and GST
Plans, prices and the number of team members each plan allows are shown on our Pricing page and in the app under Settings → Plan & billing. Prices are in Indian rupees and GST is added as applicable. We issue a GST invoice for every payment.
- Plans are paid in advance, monthly or yearly. They do not renew by themselves: the Firm renews from Plan & billing before the paid period ends, and we send reminders before that.
- If a plan is not renewed, the Firm can keep working for 7 days after the end of the paid period. After that its account becomes read-only until it pays.
- If the Firm switches to another plan during a paid period, the unused part of the current period is credited against the new plan.
- We may change prices for future periods. We will give at least 30 days’ notice; a price change never affects a period already paid for.
- Refunds are covered by our Refund & Cancellation Policy.
5. Your data
Everything the Firm and its clients put into the software — client details, documents, computations, invoices and so on ("Customer Data") — belongs to the Firm. We use it only to provide the service to the Firm, as set out in the Data Processing Agreement. We never sell it and never use it to advertise.
The Firm is responsible for having the right to put Customer Data into the software, including giving its clients any notice and getting any consent required by the Digital Personal Data Protection Act, 2023, and for keeping client information confidential as required by its professional obligations.
The Firm can download its data at any time. If the Firm stops using CADesk, its data stays available to view and download for 90 days, and is then deleted as described in the Data Processing Agreement.
6. Acceptable use
The Firm and its users must not:
- use the software for anything unlawful, or to store data they have no right to hold;
- try to reach another firm’s data, test or break our security, or overload the service;
- copy, resell or reverse-engineer the software, or build a competing product from it;
- upload viruses or harmful code;
- send unlawful or unsolicited messages to clients through the software.
We may pause an account that breaks these rules or puts the service or other customers at risk. Where we can, we will tell the Firm first and give it a chance to put things right.
7. Your professional work
CADesk helps the Firm organise and prepare its work. It does not give tax, legal or accounting advice, and it does not replace professional judgement. Tax computations, ITR files, GST returns, Tally exports, due dates and reminders are produced from the information entered and from rules that change often.
The Firm is responsible for checking everything before filing or relying on it — including on the Income Tax, GST and MCA portals — and for meeting its deadlines. Due dates in the software are a convenience; the official notifications are what count.
8. The service
We work to keep the software available and secure, and take nightly backups. Occasionally it may be unavailable for maintenance or for reasons outside our control; we will try to plan maintenance outside working hours and to give notice of it.
We improve the software over time. We may change or remove features, but will not remove anything central to the plan the Firm has paid for during that paid period.
Support is by email at info@cadesk.si, in Indian working hours. Some plans include extra help, as described on the Pricing page.
9. Other services
Some features connect to services run by others — for example Razorpay, if the Firm uses it to collect its clients’ fees, and email delivery. The Firm’s use of those services is also under their own terms. We are not responsible for services we do not run, but we choose them carefully.
10. Our software
CADesk, its design and its code belong to us. While the Firm has an account, we give it a non-exclusive, non-transferable right to use the software for its own practice. Suggestions the Firm sends us may be used to improve the software, without obligation.
11. Ending the agreement
The Firm can stop using the software at any time by not renewing; it may also ask us to close its account. We may end the agreement with 30 days’ notice, or at once if the Firm seriously breaks these terms or fails to pay.
After the account is closed, the Firm can still view and download its data for 90 days. Sections 5, 7, 12, 13 and 15 continue after the agreement ends.
12. Liability
We provide the software with reasonable skill and care. Apart from that, and to the extent the law allows, it is provided "as is", without other promises.
- Neither party is liable for indirect or consequential loss, or for loss of profit, business or goodwill.
- Our total liability in any 12 months is limited to the fees the Firm paid us in those 12 months.
- Nothing in these terms limits liability that cannot be limited by law, including for fraud.
13. Indemnity
The Firm will compensate CADesk for claims by others that arise from Customer Data the Firm had no right to use, or from the Firm breaking the law or section 6 of these terms.
14. Changes to these terms
We may update these terms. For important changes we will tell the Firm’s admins by email or in the app at least 30 days before they take effect. If the Firm does not agree, it may stop using the software before then.
15. Law and disputes
These terms are governed by the laws of India. The parties will first try to settle any dispute by talking to each other in good faith. If that fails within 30 days, the courts at Bengaluru have exclusive jurisdiction.
Grievance Officer, CADesk, info@cadesk.si. We acknowledge complaints within 48 hours and aim to resolve them within 30 days.
